Terms of Service

1. Agreement to the Terms

These Terms form a binding agreement between you and Lingofy Stream (“Lingofy Stream,” “we,” “us,” or “our”). If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. The Services

Lingofy Stream provides:

• A Mac desktop application for local AI video dubbing, transcription/translation workflows, and audiobook creation.
• A companion website for accounts, pricing, payments, downloads, license activation, release updates, and support.

Features may change over time as we improve the product. Some capabilities depend on your hardware, operating system, installed models/tools, network availability, and the content you provide.

3. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to these Terms.

You may not use the Services if you are barred from doing so under applicable law, or if we have previously suspended or terminated your access.

4. Accounts and security

• You must provide accurate registration information and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials, one-time codes, and activation / product keys.
• You are responsible for activity that occurs under your account or with your product key, except to the extent caused by our failure to exercise reasonable care.
• Notify us promptly at support@lingofy.stream if you suspect unauthorized access.

We may refuse registration, reclaim usernames, or require additional verification where reasonably necessary to protect the Services or other users.

6. License to use the desktop app

Subject to these Terms and a valid subscription / activation key, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Lingofy Stream desktop application on devices you own or control, solely for your internal or personal use as permitted by your plan.

• You may not sublicense, sell, rent, lease, or publicly distribute the app except as we expressly allow.
• You may not reverse engineer, decompile, or attempt to extract source code except to the extent such restriction is prohibited by law.
• You may not circumvent license checks, share product keys beyond your permitted seats, or use the Services to build a competing product using our non-public materials.
• Activation keys are personal to your purchase. Device limits and transfer rules may apply as described in-product or at purchase; do not share keys publicly.

7. Local processing and system requirements

The desktop app is designed to process media primarily on your device. You are responsible for ensuring your Mac meets system requirements, has adequate storage/CPU/memory, and that you have authorized necessary local installs (for example runtime components, models, or media tools downloaded during setup).

Internet access may still be required for account/license validation, downloads and updates, first-time model or dependency installation, fetching remote media URLs you provide, optional cloud text-to-speech fallbacks when used, and support communications.

8. Your content and rights

“User Content” means videos, audio, text, transcripts, voice samples, exports, and other materials you submit to or generate with the Services.

9. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes:

• Violating laws or third-party rights (including copyright, privacy, publicity, and platform terms for media you download).
• Uploading or processing malware, or attempting to disrupt or probe the Services.
• Using the Services to create deceptive deepfakes or content intended to harass, defraud, or unlawfully impersonate others.
• Scraping, overloading, or reverse-engineering our website or APIs beyond permitted use.
• Reselling access, sharing credentials/keys in violation of your plan, or circumventing usage/license limits.
• Using automated means to create accounts or abuse payment, OTP, or support systems.

10. AI outputs and no professional advice

Translations, transcripts, dubbed audio, voice synthesis, and related AI outputs may be inaccurate, incomplete, biased, or unsuitable for your purpose. You are solely responsible for reviewing outputs before relying on, publishing, or distributing them.

The Services do not provide legal, medical, financial, or other professional advice. Do not use outputs as a substitute for human review where accuracy or compliance matters.

11. Our intellectual property

The Services, including software, branding, UI, documentation, and non-user content, are owned by Lingofy Stream or our licensors and are protected by intellectual property laws. Except for the limited license in these Terms, no rights are granted to you.

“Lingofy Stream” and related marks are used to identify our product. You may not use our marks in a way that suggests endorsement without our prior written permission.

12. Third-party services

The Services may integrate with or link to third parties (for example payment processors, cloud storage for installers, email delivery, model/download sources, or optional cloud TTS providers). We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.

If you paste a remote media URL into the app, you are responsible for complying with that source’s terms and applicable law.

13. Updates and changes to the Services

We may provide updates, patches, or new versions of the desktop app or website. Some updates may be required for continued access, security, or license validation. We may modify, suspend, or discontinue features with reasonable notice where practicable.

14. Suspension and termination

You may stop using the Services at any time and may request account deletion where that feature is available.

We may suspend or terminate access (including invalidating product keys) if you breach these Terms, if required by law, if your subscription expires or payment fails, or if continuing to provide the Services creates risk to us or others.

Upon termination, your license to use the desktop app ends. Provisions that by nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that AI outputs will meet your requirements or be free of harmful content.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINGOFY STREAM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

17. Indemnification

You will defend, indemnify, and hold harmless Lingofy Stream and our affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the Services; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

18. Privacy

Our collection and use of personal information is described in our Privacy Policy (https://www.lingofy.stream/privacy). By using the Services, you acknowledge that policy.

19. Export and sanctions compliance

You must comply with applicable export control and sanctions laws. You may not use or export the Services in violation of those laws or to prohibited parties or destinations.

20. Governing law and disputes

These Terms are governed by the laws applicable to Lingofy Stream’s operation of the Services, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence require otherwise.

Before filing a formal dispute, you agree to contact us at support@lingofy.stream and attempt to resolve the issue informally within 30 days. Nothing in these Terms limits either party’s right to seek injunctive or other equitable relief for intellectual property misuse or unauthorized access.

21. Miscellaneous

• These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, are the entire agreement regarding the Services.
• If any provision is unenforceable, the remaining provisions remain in effect.
• Our failure to enforce a provision is not a waiver.
• You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• We may update these Terms by posting a revised version and updating the “Last updated” date. Material changes will take effect prospectively. Continued use after the effective date constitutes acceptance.
